PUBLIC INVITATION
For the participation in the process of sale
of 100% of stake - capital in Eunet and
at least 82,028% of capital in Yunet
The Agency organizes and conducts the procedure of sale of capital in companies Eunet and Yunet through the international tender, with the support of the Raiffeisen Investment AG as the financial advisor in this procedure.
Eunet and Yunet are the companies that provide internet access and other ICT services to corporate and individual users in Serbia and which achieved combined revenues of approximately EUR 9.5 million in 2008. The Teaser for these companies could be found on the web site of the Agency (www.aod.rs).
The Agency hereby invites interested persons who fulfill at least one of the qualification criteria stated below, to submit their Expressions of Interest for participation in the sale procedure, if the interested person is:
1. domestic or foreign legal entity whose prevailing activity consists of providing ICT services and with achieved revenues of at least 10 million EUR from such activity in the last fiscal year;
2. domestic or foreign legal entity with achieved revenues of at least 20 million EUR in the last fiscal year or had total assets in the value of at least 20 million EUR.
The bidders wishing to participate in the process are invited to submit Expression of Interest with the following:
1. Proofs of fulfillment of one or more qualification criteria (i.e. audited financial statements as of 31/12/2008 or a later date),
2. The extract from the domestic or foreign public registry in which interested bidder is registered (notarized, apostilled and translated into Serbian by an official court translator – if the bidder is foreign legal entity),
3. Short description of the bidder and its ownership structure (3 pages maximum)
Interested persons may submit the Expressions of Interest individually or as a part of the consortium. In the case of a consortium, the consortium leader (which fulfills one or more qualification criteria) needs to have a minimum of 51% direct participation in the consortium.
All submitted documents have to be legally valid, certified and composed in the Serbian language. In case the original documents are in a language other than Serbian, it is required to submit the original documents and translation into Serbian certified by the court translator. For condition no. 1, it is sufficient to provide a translation of the income statement, balance sheet and auditor’s opinion.
The Expressions of Interest with eligible documentation that provide the evidence of the fulfillment of the above mentioned criteria are being submitted by mail or direct delivery in sealed envelope on the following address: Raiffeisen Investment AG, Bul. Zorana Djindjica 64a, 11070 Belgrade, Serbia. The master envelope of the Expression of Interest must bear the following note: “Expression of Interest – Eunet/Yunet – do not open!”. The Expressions of Interest which are not received timely or which are determined to be incomplete shall not be considered and shall be returned to the submitting interested person.
Expressions of Interest have to be submitted at the latest by 13 July 2009 at 15:00 hours CET.
Following the successful qualification and signing of the Confidentiality Agreement, qualified interested persons will be invited to purchase the information package which would contain detailed information regarding the proposed transaction.
The Agency reserves the right to alter the sale procedure or abort the sale at any time.
